Similarity: in all three processes, bacterial cells of like or unlike species exchange genetic material

Differences: conjugation does not rely on a virus to facilitate the gene transfer. Bacteria have genes outside of the bacterial chromosome structure

How could dead bacteria give genes to the live bacteria?

The dead one left DNA behind which was picked up by the alive bacteria, changing it so that it could kill.
