Complete the square:
y = 3x^2 - 12x + 4
y = 3(x^2 - 4x) + 4
y = 3(x^2 - 4x + 4 - 4) + 4
y = 3(x^2 - 4x + 4) - 12 + 4
y = 3(x - 2)^2 - 8
