Answer:

One of the key things needed for fossilization is hard parts(bone, teeth, etc.), if there was not any hard parts there would not be a fossil because everything else decomposes quickly. Another key thing needed for fossilization is burial, if the organism was not underground it might be eaten by scavengers. Being buried also keeps it from decomposing quickly because oxygen cannot get to it.
